12. DIRECT MARKETING

12.1. Upon conclusion of the Agreement, the Service Provider will use the e-mail address provided by the Customer for marketing its own similar services (products) (e.g. sending newsletters presenting similar services of the Service Provider), unless the Customer or the Customer’s representative objects to such data processing when entering into and/or performing the Agreement (pursuant to Article 81(2) of the Law on Electronic Communications of the Republic of Lithuania). To object to such processing of personal data, the Customer or the Customer’s representative must indicate this in the Special Terms, where they are concluded, or notify the Service Provider at any time by e-mail at [email protected]. If no objection to such use of personal data is made when entering into this Agreement and/or immediately thereafter, the opportunity to object will be provided in every message sent to the e-mail address of the Customer or the Customer’s representative in accordance with this clause.

13. LIABILITY

13.1. The Parties are liable for the non-performance or improper performance of their obligations under the Agreement in accordance with the Agreement and/or applicable legislation and must compensate the other Party for direct losses incurred as a result.

13.2. The Service Provider is released from any liability where the Customer incurs direct losses because the Customer did not in fact familiarise itself with the General Terms or the Privacy Policy, despite having been given the opportunity to do so.

13.3. The Service Provider’s liability to the Customer is limited to direct losses and to the amount of the price paid for the Services, unless mandatory provisions of applicable legislation do not permit such limitation of liability.

13.4. The Service Provider assumes no liability for the quality of services provided by Third Parties or for the availability of Third Party infrastructure (providers of Mobile-ID, Smart-ID, other eID means and trust services), where such infrastructure is related to and necessary for the proper provision of the Services, or for any other actions of Third Parties beyond the Service Provider’s control, if as a result the Service Provider is unable to properly perform its obligations.

13.6. Payment of contractual penalties does not release a Party from the obligation to perform its obligations under this Agreement.

14. FORCE MAJEURE

14.1. The Parties shall not be liable for the partial or complete non-performance of their contractual obligations if they prove that it was due to force majeure circumstances.

14.2. A Party unable to perform its contractual obligations due to force majeure circumstances must notify the other Party in writing without delay, and in any event no later than within 5 (five) days of the occurrence of such circumstances or of becoming aware of them.

14.3. Force majeure circumstances are understood as defined in the applicable legislation of the Republic of Lithuania. The grounds for releasing from liability a Party unable to perform its contractual obligations due to force majeure circumstances arise from the moment such circumstances occur or manifest themselves or, if notice is not given in time, from the moment of notification.

15. INFORMATION ON WITHDRAWAL FROM THE AGREEMENT

15.1. The Customer has the right to withdraw from the Agreement within 14 (fourteen) days without giving any reason. The withdrawal period expires 14 (fourteen) days after the day the Agreement is concluded.

15.2. To exercise the right of withdrawal, the Customer must inform the Service Provider of its decision by an unequivocal statement (e.g. by registered post or by e-mail to the address specified in clause 1.1.11 of the General Terms). The Customer may use the model withdrawal form attached to the General Terms (Annex No. 1 to the General Terms), but this is not obligatory. To meet the withdrawal deadline, it is sufficient for the Customer to send the communication concerning its exercise of the right of withdrawal before the withdrawal period has expired.

15.3. Effects of withdrawal:

15.3.1. upon the Customer’s exercise of the right of withdrawal, the Parties’ obligations to perform the Agreement cease;

15.3.2. the Service Provider undertakes to reimburse to the Customer all payments received for the Services without undue delay and in any event no later than 14 (fourteen) days from the day on which it received the Customer’s notice of withdrawal. The Service Provider will carry out such reimbursement using the same means of payment as the Customer used for paying for the Services, unless the Customer has expressly agreed otherwise and provided the Customer does not incur any additional costs as a result.

15.4. If the provision of the Services to the Customer began before the end of the withdrawal period set out in this section of the General Terms, the Customer, by accepting these General Terms, is deemed to have made an express request and to have acknowledged that, if the Service Provider begins providing the Services before the end of the withdrawal period set out in this section of the General Terms, the Customer loses the right to withdraw from the Agreement under this section. Where storage space for Documents is created for the Customer immediately upon creation of the Account, the Services are deemed to have begun from the moment the Account was created, regardless of when payment for the Services was made; the Customer therefore understands, acknowledges and agrees that it has thereby lost the right to withdraw from the Agreement.

15.5. The right of withdrawal set out in this section of the General Terms does not apply to a Customer who is not a Consumer.

16. TERM OF THE AGREEMENT

16.1. The Services are provided to the Customer from the moment the Agreement is concluded until either Party terminates the Agreement in accordance with the General Terms and/or the Special Terms or applicable legislation.

16.2. The Customer may terminate the Agreement unilaterally, without giving any reason, at any time by cancelling the selected Plan on the Platform, unless Special Terms providing for a different termination procedure have been concluded with the Customer. The price of the Services paid up to the date of termination is non-refundable, regardless of the period for which it was paid, except where the Agreement is terminated due to a material breach of the Agreement by the Service Provider; however, the Customer may use the Services for the entire period paid in advance.

16.3. The Service Provider may unilaterally terminate the Agreement and the provision of the Services without giving any reason by notifying the Customer in writing (by e-mail to the address specified in the Account and/or the Special Terms) at least 30 (thirty) days in advance. In such a case, a Customer receiving prepaid Services whose remaining term exceeds the notice period will be refunded the amounts paid for the period during which the Services will not be provided.

16.4. The Agreement may be terminated by written notice of the Service Provider if the Customer breaches the terms of the Agreement and fails to remedy such breach within 5 (five) days of receipt of the relevant written notice, where the breach is capable of remedy. In such a case, the Agreement is deemed terminated from the date specified in the written notice, which may not be earlier than the last day of the said 5 (five) day period.

16.5. Upon termination of the Agreement on any grounds, the Customer’s Account will be deleted; the Customer must therefore download the Documents stored on the Platform before the date of termination.

16.6. For the avoidance of doubt, the Parties acknowledge that all terms of the Agreement which by their nature survive the expiry or termination of the Agreement shall remain in force after its termination or expiry.

17. COMMUNICATIONS

17.1. Notices relating to the provision of the Services are sent to the e-mail address specified in the Customer’s Account and/or the Special Terms. The Service Provider is not liable if the Customer does not receive information or confirmation messages sent due to internet connection problems, failures of e-mail service providers’ networks, messages ending up in the SPAM folder, or incorrect data provided by the Customer.

17.2. The Parties must notify each other in writing (by e-mail) without delay of any change in their contact details. If a Party fails to notify a change of address or other contact details, a notice sent to the last known address is deemed duly delivered.

18. AMENDMENTS TO THE GENERAL TERMS

18.1. The Service Provider may amend or supplement the General Terms. Customers are informed of amendments to the General Terms at least 30 (thirty) days before they take effect, on the Platform and/or by e-mail to the addresses specified in the Account and/or the Special Terms. If the Customer does not agree with the amendments made by the Service Provider to the General Terms, the Customer should terminate the Agreement and stop using the Services.

18.2. The current and valid version of the General Terms is always available on the Platform.

19. FINAL PROVISIONS

19.1. In the event of any conflict between the General Terms and the Special Terms, the Special Terms shall prevail.

19.2. The Agreement is governed by the laws of the Republic of Lithuania. Any disputes or disagreements arising in connection with the provision of the Services shall be resolved by negotiation. If no agreement is reached, disputes shall be resolved in accordance with the legislation of the Republic of Lithuania.

19.3. The Service Provider may assign all of its rights and obligations under the Agreement without the consent of a Customer who is a Consumer, provided that such assignment does not worsen the Customer’s position under the Agreement or reduce the guarantees provided to it. The Customer may not transfer or assign any rights or obligations under these General Terms without the Service Provider’s prior written consent, and any unauthorised transfer of such rights and obligations shall be deemed void.

19.4. If any provision of the Agreement is held invalid under applicable legislation, the remaining provisions of the Agreement shall remain in force, except where the invalid provisions make the implementation of the remaining provisions essentially impossible. If any provision of the Agreement or part thereof is or becomes invalid or ceases to bind the Parties, the Parties shall negotiate in good faith and replace it with another wording that reflects the Parties’ intentions as closely as possible.

19.5. Failure by either Party at any time to require performance of any provision of the Agreement and/or applicable legislation shall not affect that Party’s right to require full performance thereof at any later time in accordance with the Agreement and/or applicable legislation, and any waiver by either Party of a breach of any provision of the Agreement shall not be deemed a waiver of any subsequent breach thereof, nor shall it be deemed to revoke the validity of any such provision or in any way prejudice that Party’s rights under the Agreement.

19.6. If the Customer has any complaints against the Service Provider, it may set them out and submit them in writing using the Service Provider’s contact details specified in clause 1.1.13 of the General Terms. The Service Provider undertakes to respond to such complaints within 14 (fourteen) days of receipt.
